Tom Bayliss is a name partner at Abrams & Bayliss, a Delaware-based litigation boutique. Mr. Bayliss specializes in corporate and commercial disputes before the Delaware courts, with particular focus on the Delaware Court of Chancery, the nation’s pre-eminent business court. Unlike many Delaware practitioners, Mr. Bayliss represents both plaintiffs and defendants in corporate, fiduciary duty and other governance disputes, including in contingent fee litigation. Mr. Bayliss recently led an Abrams & Bayliss trial team to victory against leading New York and Delaware firms in a case that resulted in the largest post-trial class action judgment in Court of Chancery history (as well as the largest post-trial judgment won by a single law firm in that court). The Delaware Supreme Court later reversed and remanded the case to the Court of Chancery, which is now presiding over further proceedings. Mr. Bayliss led another trial team to victory in highly expedited litigation resulting in a deal-blocking injunction and an opinion declaring that the challenged three-way business combination failed both entire fairness review and enhanced scrutiny under Delaware law. Mr. Bayliss’s accomplishments for defendants include defeating challenges to multiple M&A transactions, including first chair trial victories in two cases that helped establish the importance of deal price in public company appraisal cases. Chambers USA has ranked Mr. Bayliss as one of the best lawyers in Chancery since 2012.
